1. When a secured creditor's consent is required to liquidate assets and to the consent cannot be obtained
2. When the perspective Assignor is an institution prohibited by law from making an ABC, such as a bank or insurance company
3. When the state law or the governing documents of an entity prohibits the making of an ABC
